SIMKAR, LLC Completes Acquisition of C.E.W. Lighting

Philadelphia, PA - March 28, 2003 - SIMKAR, LLC announced today the completion of its acquisition of substantially all the assets of C.E.W. Lighting, Inc. Memphis, TN. Details of the acquisition were not publicized.

C.E.W. Lighting, a leading manufacturer of High Intensity Discharge (HID) lighting products and components, is located in Memphis, TN with additional offices and facilities in Dallas, TX and Edison, NJ.

As a member of SIMKAR's senior management team reporting to Mr. Eagle, Peter Roth will continue as President of C.E.W. Lighting.
